Terms of working together.

The short version: clear scope, fair fees, and you own the work once it is paid for.

Agreement

These terms apply to every proposal, statement of work and project between Formwell Studio B.V. and the client named in it. A project starts when the proposal is signed and the first invoice is paid.

Scope & changes

Each project is defined by its statement of work. Requests outside that scope are welcome — we estimate them in writing and start only once you approve the additional time and fee.

Fees & payment

Fixed-fee projects are invoiced 50% on signing and 50% on delivery; retainers are invoiced monthly in advance. Invoices are due within 14 days. Prices exclude VAT and third-party costs such as fonts, stock or hosting.

Feedback & timelines

Timelines depend on timely feedback. Each phase includes the rounds of refinement listed in the proposal; if feedback is delayed by more than ten working days, we may reschedule the remaining work.

Ownership

Once the final invoice is paid, you own the final deliverables and all rights needed to use them. We keep ownership of working files, unused concepts and our pre-existing tools, and may show the finished work in our portfolio unless agreed otherwise.

Liability & law

Our total liability is limited to the fees paid for the project concerned. Either party may end a project with 30 days’ written notice; work completed until then is invoiced. These terms are governed by Dutch law and the courts of Amsterdam.
